MASTER SERVICES AGREEMENT
between Kesten Foods, Inc. (“Customer”) and the Supplier named at Schedule A.
4. FEES AND PAYMENT
4.1 Customer shall pay each undisputed invoice within forty-five (45) days of
the invoice date. Disputed amounts shall be notified within ten (10) days.
4.3 Supplier may suspend Services where any undisputed amount remains unpaid
more than thirty (30) days after written notice of non-payment.
7. PRICING ADJUSTMENTS
7.2 Unit prices are fixed for the Initial Term save as provided in this Clause 7.
7.4 Where Customer’s aggregate annual volume exceeds twelve thousand (12,000)
units, Supplier shall credit a rebate of four percent (4%) of net invoiced
value for that contract year against the next invoice issued.
7.6 Schedule B rates shall be adjusted on 1 January each year by the change in
the Consumer Price Index published for the preceding twelve months.
9. PERFORMANCE
9.1 The named account lead is eligible for a quarterly performance bonus.
9.2 A bonus of eight percent (8%) of collected quarterly revenue is due
within thirty (30) days of quarter end when the collection target in
Schedule D is met, without further demand from the account lead.
9.4 Unpaid bonuses accrue and remain payable after the account lead’s departure.
12. TERM AND RENEWAL
12.1 This Agreement renews automatically for successive twelve (12) month terms
unless either party gives written notice of non-renewal not less than sixty
days before the end of the then-current term.
12.3 Either party may terminate for material breach not cured within thirty days.
15. GENERAL
15.1 This Agreement is governed by the laws of the State of Delaware.
15.2 Neither party may assign this Agreement without prior written consent.
15.4 This Agreement constitutes the entire agreement between the parties.
